Terms and Conditions for Agents

“ We ”, “ our ” refers to Property Finder Morocco, publisher of the Sarouty.ma real estate portal.
“You”, “Your” or “the Client” refers to you as the end user of the Sarouty.ma real estate portal.

The “Service” includes the following benefits when using it:

• Helping you manage your listings
• Increasing the visibility of agents wishing to strengthen their brand image
• Displaying advertising banners on our website
• Posting your properties on our website
• Listing your properties on our email alerts
• Displaying your agency name and logo in the “Find Agents” section
• Providing an advertising tool for property developers

The following are the standard Terms and Conditions (“Terms and Conditions”) that apply upon your use of the Service. The receipt of a signed purchase order from you constitutes your acceptance of these Terms and Conditions. You are required to read the terms and conditions attached to the order form, as well as any other document provided to you at the time of signing the purchase order.

YOUR OBLIGATIONS

You must:

• Publish listings for properties available for sale or rent in Morocco
• Be a real estate agent in Morocco, or in the country related to your use of the Service
• Remove from our website all properties that have been sold or rented within 72 hours following the signing of the contract
• Report sold properties in the dedicated database, or notify the extension of any listing
• Ensure you do not illegally or improperly use the software made available to you
• Ensure that you do not reference or insert any of our documents on any website or portal other than Sarouty.ma without our prior consent
• Comply with electronic and commercial regulations
• Ensure that you do not reference us in any promotional activity or merchandising process without our formal authorization
• Comply with all guidelines and codes issued by the Ministry of Housing or other relevant local authorities
• Submit a request before referencing any of our software
• Ensure that no other person, authorized or not, uses your service subscription in violation of these terms and conditions

YOU ACKNOWLEDGE THAT:

• You have read and agreed to be bound by all legal notices displayed on the site
• You declare and warrant that you are authorized by property owners to publish listings of their properties online
• You are not authorized to allow other people to use our service without our consent
• You acknowledge that such behavior constitutes a violation of these terms and conditions
• By using our portal, you grant us a free license to market copies and licenses of your content to others in Morocco and abroad
• We are under no obligation to monitor or censor material generated by users of the service appearing on our site, but we reserve the right to do so
• We are not responsible for the content of the Service or for any errors or omissions in the property data provided by you or on your behalf
• System or technical failures may hinder or prevent access to all or part of the property data
• You are responsible for telecommunications and Internet costs during your use of our website
• You are responsible for securing your data and files
• Internet errors may affect data transmission
• We provide a proximity service to keep you informed about the advantages and products of our partners. This communication may occur through any channel.

INITIAL TERM, SUSPENSION OR TERMINATION OF SERVICE

Unless otherwise indicated in the purchase order, this Agreement shall have an initial term of twelve (12) months from the effective date of this Agreement. After the expiration of the initial term or any renewal period, the agreement shall continue on a monthly basis under the same terms but at our “end-of-contract” rate unless:

• You provide us with a formal thirty (30) day notice stating your intention not to continue or renew the contract
• Our end-of-contract rate is available upon request and will be higher than the rate applicable during the fixed term
• We may terminate this Agreement at any time by giving you seven (7) days’ notice. If you continue to use the Service after the agreement ends, you remain liable for all costs incurred by you, without limiting our other rights. The advertising contract has a duration of three (3) months from the initial signing date.
• We may immediately suspend or temporarily remove details uploaded by you to our website if:
• Payment is not made within the required timeframe
• You do not fully comply with the advertising agreement
• You are bankrupt, in administrative or judicial liquidation
• You appoint a manager for most of your assets, or are deemed insolvent, or if you die, or if a liquidation request is filed against you
• You acknowledge and accept that the termination of this agreement under this clause does not release you from your obligations and responsibilities

PACKAGES, FEES AND PAYMENT

• Full payment in advance or via postdated checks (PDC) before the initial contract date are the only payment methods accepted under this agreement
• The current fees for the service are specified in your advertising contract. We offer several packages that vary in price and included services. You may subscribe to any of these packages. However, we reserve the right to modify the contract’s terms and conditions, including package components and fees, at any time. You will be notified of any changes in our fees or packaging. Any bounced or rejected check issued by the client due to insufficient funds or any other reason will incur an administrative fee (1000 MAD) per incident, payable by the client of Sarouty.ma.

LIMITS OF INDEMNIFICATION

As permitted by the laws of the Kingdom of Morocco, we have the right to:

• Exclude all implied terms and warranties of the agreement
• Exclude any loss of revenue or specific damages
• Restrict our liability in the event of a breach of a condition or warranty
• Reactivate the Service
• Assign a cost to the reactivated service
• Restrict our liability for any other claim related to the agreement, whether the claim is based on contract or civil liability
• We shall not be liable under this agreement to the extent the liability is caused by your failure to comply with your obligations. We are also not responsible for the permanent availability of our website nor for the data you may have stored on it.
• You are required to indemnify our company, officers, employees, and agents (“the indemnified parties”) against any losses, damages, expenses, and direct or indirect costs (including legal fees) incurred or suffered by any of the indemnified parties as a result of any claim or proceeding brought by a third party.

GENERAL

• We may modify the general terms of the contract at any time by giving you a 30-day prior notice. However, you must acknowledge receipt of the modified version in writing.
• No delay or omission in the execution of this contract shall be considered a waiver of it
• Notice must be sent by email, stamped mail, or fax to the contact person
• You are not authorized to transfer the contract to a third party without our prior written consent
• The contract (including documents provided at the same time) constitutes the entire agreement and replaces all prior agreements
• You submit to the exclusive jurisdiction of the courts covering the entire Kingdom of Morocco. If any clause of the contract becomes unenforceable, the rest of the contract remains valid.
